NONDISCLOSURE AND NON-COMPETITION AGREEMENT
The undersigned, as an officer, employee or member of PRACTICAL AMERICAN SAFETY SOLUTIONS, LLC., (“PASS”) does hereby acknowledge as follows:
- 1. Products, plans, specifications, videos, discs, literature, operating procedures, source codes and other information regarding the design, production and distribution of products shown and developed by PRACTICAL AMERICAN SAFETY SOLUTIONS, LLC., or developed by the undersigned while as an employee of PASS are the sole and absolute property of PASS
- 2. Such information constitutes specialized and highly confidential information not generally packaged and prepared in the same fashion in the industry
- 3. Such information constitutes trade secrets and intellectual property of PASS
Accordingly, the undersigned recognizes and acknowledges that it is essential to PASS to protect the confidentiality of this trade information. The undersigned, as an officer, employee or member of PASS agrees to retain the confidentiality of such information and to hold the same in trust for PASS’s sole and exclusive use and benefit. The undersigned shall not disclose, distribute, copy or in anyway disburse such information to any person, firm, association or other entity for any purpose or purposes whatsoever. The undersigned further acknowledges that the above captioned trade secrets and intellectual property and the list of customers and contacts of PASS is highly confidential information which, if disseminated or used by parties not employed by PASS, would create substantial harm to PASS. In consideration of the undersigned’s position as an officer, Employee or member of PASS, the undersigned specifically agrees that he/she will not, in any way, whether directly or indirectly, byhimself/herself or by any member of their families, or any other entity, be employed by any company or individual in direct competition with PASS for a period of twelve (12) months following the execution of this Agreement within the State of Indiana. The undersigned further agrees to not utilize, at any time, any of the confidential trade secrets and intellectual property of PASS nor to make contact any customers of PASS or to disseminate the list of customers to any third party. The undersigned further acknowledges that violations of this Agreement would cause irreparable harm to PASS, and PASS may seek injunctive relief and any other remedies which may be available to enforce the terms of this Agreement.
